These Terms of Service ("Terms") govern your use of the TOL Solutions website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

TOL Solutions provides AI development, intelligent automation, strategic consulting, and cloud infrastructure services to businesses. Specific deliverables, timelines, and pricing are defined in individual service agreements or statements of work ("SOW") signed between TOL Solutions and the client.

2. Intellectual Property

All content on this website — including text, graphics, logos, and software — is the property of TOL Solutions and protected by applicable intellectual property laws. Custom solutions developed for clients are governed by the IP provisions in the respective SOW. Unless otherwise agreed, clients receive a licence to use the delivered work; TOL Solutions retains ownership of underlying frameworks, methodologies, and reusable components.

3. Acceptable Use

You agree not to:

• Use our services for any unlawful or unauthorised purpose
• Reverse-engineer, decompile, or disassemble any software we provide
• Attempt to gain unauthorised access to our systems or client data
• Transmit malicious code, spam, or disruptive content
• Misrepresent your identity or affiliation

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement and not to disclose it to third parties without prior written consent, except as required by law.

5. Payment Terms

Payment terms are specified in each SOW. Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may incur interest at the rate of 1.5% per month. TOL Solutions reserves the right to suspend services for overdue accounts.

6. Limitation of Liability

To the maximum extent permitted by applicable law, TOL Solutions shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from or related to our services shall not exceed the fees paid by the client in the three months preceding the claim.

7. Termination

Either party may terminate an engagement with 30 days' written notice. TOL Solutions reserves the right to terminate immediately in cases of material breach, non-payment, or violation of these Terms. Upon termination, all outstanding fees become immediately due.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of North Macedonia and applicable EU regulations. Disputes shall be resolved by the competent courts in Skopje, North Macedonia.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or a prominent notice on our website. Continued use of our services after changes constitutes acceptance of the revised Terms.
